Yandex N.V. sold its Russian businesses and became Nebius: the unusual birth of an AI infrastructure company

Nebius Group emerged in 2024 from the Netherlands-registered parent formerly known as Yandex N.V. after it completed the divestment of its Russia-based businesses.

Rather than liquidating the remaining international assets, the company adopted the Nebius name and concentrated on AI infrastructure, cloud computing and a portfolio of technology businesses outside Russia.

The important part of this history is the sequence. Each major step gave Nebius Group another layer of capability, and later products or markets often depended on work that began years earlier.

Yandex N.V. created the corporate shell long before Nebius existed

The Dutch holding company had originally been the listed parent of Yandex, the internet and technology group whose main operations were in Russia.

For Nebius Group, access to public markets was more than a branding milestone. It increased financial transparency and created another route to fund expansion, acquisitions or long-term product development.

The post-2022 restructuring separated Russian and international assets

Geopolitical and regulatory pressures after Russia’s invasion of Ukraine led to a complex multi-year process to sell the Russian businesses and restructure ownership.

The AI era increased the value of capabilities Nebius Group had already been developing. Compute, data, networking, software or infrastructure that once served narrower workloads became relevant to much larger AI systems.

The 2024 divestment created a company with a completely different mission

After completing the sale, Yandex N.V. renamed itself Nebius Group and retained non-Russian technology assets including AI-cloud infrastructure and interests in companies such as Toloka, Avride and TripleTen.

This shift also changed how customers consumed the technology. Instead of treating software or infrastructure as a one-off purchase, the relationship became more continuous, with updates, capacity and services delivered over time.

GPU infrastructure became the central growth bet

Nebius invested heavily in data centres and accelerated-computing infrastructure aimed at AI developers and companies that need large amounts of GPU capacity.

The AI era increased the value of capabilities Nebius Group had already been developing. Compute, data, networking, software or infrastructure that once served narrower workloads became relevant to much larger AI systems.

A forced separation became an AI reset

As of 18 September 2026, nebius is therefore a young brand built on an older listed-company structure. Its history cannot be understood as a conventional start-up story: the business was created through a geopolitical corporate separation and then redirected towards AI infrastructure.

The distance between “Yandex N.V. created the corporate shell long before Nebius existed” and “GPU infrastructure became the central growth bet” captures the larger story: Nebius Group kept extending the value of its original expertise into new products, markets or infrastructure.
